Terms & Conditions

These Standard Terms & Conditions (“Terms”) govern the remote cargo inspection services (“Services”) provided by Nordwatch Solutions (“Nordwatch,” “we,” “us,” “our”) to the client or cargo owner (“Client,” “you,” “your”). By using our Services or any Certificate of Approval (“CoA”) issued by Nordwatch, you agree to these Terms fully and without reservation.

1. Nature and Scope of Remote Inspection Services

Nordwatch provides remote cargo and container inspection services exclusively based on photographic images, video recordings, and live-streamed video calls (“Provided Material”) submitted by the Client via Nordwatch’s digital inspection platform.

Our inspectors perform remote evaluations only. They do not physically visit inspection locations, directly examine cargo, or verify cargo-securing tension in person. Nordwatch’s assessments rely completely upon the accuracy, clarity, completeness, and authenticity of the Provided Material.

2. Client Obligations & Responsibilities

2.1 Accuracy, Completeness, and Authenticity of Provided Material

You must ensure that all Provided Material (photos, videos, live-streams, documents) accurately and completely represents the cargo’s actual physical condition, securing arrangements, container identifiers, seal numbers, markings, and all relevant shipping documentation at the time of submission.

2.2 Quality and Clarity of Provided Material

Provided Material must clearly illustrate cargo arrangements, lashing methods, securing equipment, container conditions, and markings. You acknowledge that unclear, incomplete, blurred, inadequate, misleading, or ambiguous submissions may invalidate Nordwatch’s inspection and any related CoA.

2.3 Cargo Securing and Physical Tension Checks

Due to the remote nature of our Services, Nordwatch inspectors cannot physically verify the tension, strength, or adequacy of cargo lashings or securing equipment. Responsibility for physically verifying, maintaining, and ensuring proper cargo securing and tensioning according to relevant international maritime standards rests solely with you, the Client.

For lashing and securing inspections it is strongly encouraged for clients to provide Nordwatch with a  Cargo Transport Drawing or equivalent. If none should be provided or available, Nordwatch will assume CoG of the cargo item to be positioned centrally within the cargo unit. Lashing and securing calculations will be completed on this basis.

3. Validity and Limitations of the Certificate of Approval (CoA)

3.1 Conditions of Validity

Certificates of Approval issued by Nordwatch are valid only if:

  • Provided Material accurately represents the actual cargo-securing arrangements at the inspection time.

  • Cargo-securing arrangements remain unchanged and consistent with the inspected conditions during the entire transit.

  • Container handling, cargo management, and maritime transport fully comply with international maritime standards, guidelines, and applicable regulations, including but not limited to IMO/ILO/UNECE CTU Code, ISO standards, and IMDG regulations.

3.2 Automatic Invalidation of Certificate

The CoA automatically becomes null and void if any of the following occurs:

  • The Provided Material is later found unclear, inaccurate, incomplete, misleading, or insufficient for a thorough remote inspection.

  • Changes or modifications to cargo securing arrangements or container conditions occur after the certificate’s issuance.

  • Any unauthorized alteration or amendment to the certificate itself or its associated documentation.

  • Failure by the Client to perform the required regular physical tension and securing checks during transit or failure to promptly address any identified issues.

4. Liability and Limitations of Liability

4.1 General Limitation of Liability

Nordwatch Solutions, its inspectors, employees, representatives, and affiliates shall not be liable for any direct, indirect, consequential, incidental, special, exemplary, or punitive losses or damages arising from, or related to, the Services provided or reliance upon issued certificates, including but not limited to loss of profit, business interruption, cargo damage, loss of reputation, delays, or any claims arising due to insufficient cargo securing or transportation conditions.

4.2 Indemnification

You explicitly agree to indemnify, defend, and hold harmless Nordwatch Solutions, including its employees, inspectors, directors, affiliates, agents, or representatives, from any claims, liabilities, damages, losses, demands, actions, or proceedings (including reasonable attorney fees) arising directly or indirectly from:

  • Your breach of these Terms.

  • Inaccuracies, errors, omissions, inadequacies, or misrepresentations within the Provided Material.

  • Your failure to follow recommended or required cargo securing practices and international standards.

4.3 Limited Liability Regarding Cargo Value

Nordwatch Solutions’ total liability concerning any individual inspection or certificate issued shall be strictly limited to the amount paid by the Client to Nordwatch Solutions for that specific inspection. Under no circumstances will Nordwatch Solutions assume responsibility or liability for the cargo’s actual value, quality, or condition, regardless of the cause or nature of any claim.

5. Force Majeure

Nordwatch Solutions shall not be held responsible or liable for any delay or failure in performing its obligations due to circumstances beyond reasonable control, including but not limited to technical failures, internet or platform outages, power interruptions, natural disasters, governmental or regulatory actions, wars, terrorism, pandemics, epidemics, labor disputes, strikes, or any other events recognized as Force Majeure.

6. Governing Law and Jurisdiction

These Terms and Conditions shall be exclusively governed by and interpreted according to the laws of Denmark. All disputes or claims arising from or related to these Terms or the Services provided by Nordwatch Solutions shall be subject to the exclusive jurisdiction and authority of the competent courts located in Copenhagen.

7. Amendments and Updates

Nordwatch Solutions reserves the right to modify, amend, update, or revise these Terms at any time. Such amendments or modifications will be posted prominently on our website (www.nordwatchsolutions.com). Continued use of our Services after such updates signifies your agreement to the revised Terms.

8. Severability

If any provision or part of these Terms is held invalid, unlawful, or unenforceable, such provision shall be severed, and the remaining provisions remain fully valid, enforceable, and effective.

9. Entire Agreement

These Terms constitute the entire agreement between Nordwatch Solutions and the Client regarding the Services and supersede any prior negotiations, agreements, or understandings, whether written or verbal, unless explicitly agreed otherwise in a separate written agreement signed by both parties.
